Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and B PARTNERS LLP ("Company," "we," "us," or "our") concerning your access to and use of the b-p-c.com website and any related services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You are not prohibited from using the Services under applicable laws
• All information you provide is accurate, current, and complete
• You will maintain the accuracy of such information

Use of Services

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or business purposes.

Prohibited Activities

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the Services or servers/networks connected to the Services
• Use any automated system to access the Services (bots, scrapers, etc.) without permission
• Transmit viruses, malware, or any other malicious code
• Impersonate any person or entity or falsely state affiliation with any person or entity
• Collect or harvest any personally identifiable information from the Services
• Engage in any conduct that restricts or inhibits anyone's use of the Services
• Use the Services to transmit spam, chain letters, or unsolicited communications
• Violate any applicable local, state, national, or international law

Founding Advisory Committee Application

Application to the Founding Advisory Committee is subject to the following terms:

• Applications are subject to review and approval at our sole discretion
• We reserve the right to accept or reject any application without providing reasons
• Submission of an application does not guarantee acceptance
• All information provided must be accurate and truthful
• False or misleading information may result in rejection or termination of membership

Membership Contribution

Accepted members will be required to make a symbolic founding contribution of 1,000 EUR. This contribution is non-refundable and does not represent an investment or equity stake. It supports the initial development and global infrastructure of the project. Payment terms and instructions will be provided upon application approval.

Intellectual Property Rights

Our Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, software, and the selection and arrangement thereof) are owned by B PARTNERS LLP or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

By submitting content through our Services (including application materials), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purposes of:

• Evaluating your application
• Operating and improving our Services
• Communicating with you
• Complying with legal obligations

User Representations and Warranties

By using our Services, you represent and warrant that:

• All information you submit is truthful, accurate, current, and complete
• You have the right to submit any content you provide to us
• Your content does not violate any third-party rights (including intellectual property rights)
• Your use of the Services complies with all applicable laws and regulations
• You will not use the Services for any fraudulent or illegal purpose

Privacy and Data Protection

Limitation of Liability

This includes, but is not limited to, damages for:

• Loss of goodwill or reputation

Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid to us (if any) in the twelve (12) months preceding the claim, or £100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless B PARTNERS LLP, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your violation of any applicable laws or regulations; or (e) any content you submit through the Services.

Termination

We reserve the right to:

• Suspend or terminate your access to the Services at any time, with or without cause
• Refuse service to anyone for any reason at any time
• Remove or disable access to any content at our sole discretion

You may cease using the Services at any time. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution

Informal Resolution

In the event of any dispute arising from these Terms or the Services, you agree to first contact us at [email protected] to attempt to resolve the dispute informally.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in London, England, and you irrevocably consent to the personal jurisdiction and venue therein.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

No waiver by B PARTNERS LLP of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and B PARTNERS LLP regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
